These Terms of Service (“Terms“) govern your access to and use of the website techinfini.in and any related content, features, or services made available through it (collectively, the “Site“), operated by TechInfini Solutions Pvt. Ltd. (“TechInfini“, “we“, “us” or “our“).

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

Who we are

TechInfini Solutions Pvt. Ltd. is a private limited company incorporated in India with its registered office at 402, Airen Heights, Scheme No. 54, Opposite C21 Mall, Indore, Madhya Pradesh 452010, India. We also operate from offices in the United States, the United Kingdom, and the United Arab Emirates.

These Terms apply only to your use of the Site. If you engage us to deliver services, that engagement is governed by a separate written agreement (a Master Services Agreement, Statement of Work, or order form) signed between you and TechInfini. In the event of a conflict between these Terms and such an engagement agreement, the engagement agreement prevails for that engagement.

Eligibility

The Site is intended for use by business professionals and is not directed at consumers or children. By using the Site, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Site on behalf of a company or other legal entity, you represent that you are authorised to bind that entity to these Terms, and “you” refers to that entity.

Permitted use of the Site

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your internal business and informational purposes, subject to these Terms.

You agree not to:

• Use the Site for any unlawful, fraudulent, or unauthorised purpose, or in a way that violates any applicable law or regulation.
• Copy, reproduce, distribute, publish, sell, license, sub-license, transmit, modify, or create derivative works of any part of the Site, except as expressly permitted by these Terms or with our prior written consent.
• Use automated tools — scrapers, crawlers, robots, spiders, or similar — to access, monitor, or copy any material on the Site, except for legitimate search-engine indexing in accordance with our robots.txt.
• Attempt to gain unauthorised access to any part of the Site, our servers, or any systems or networks connected to the Site, or interfere with their proper operation.
• Introduce viruses, trojans, worms, logic bombs, or any other material that is malicious or technologically harmful.
• Conduct security testing, penetration testing, vulnerability scans, or load testing without our prior written permission.
• Use the Site or any information obtained from it to compete with us, build a competing product or service, or develop a similar product or service.
• Remove, obscure, or alter any proprietary notices (including copyright and trademark notices) on the Site.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Frame, mirror, or in-line link to any part of the Site without our prior written consent.

We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have violated these Terms.

Intellectual property

The Site, including its design, layout, code, text, graphics, images, logos, icons, audio and video clips, data compilations, and all software, is owned by TechInfini or its licensors and is protected by Indian and international copyright, trademark, database, and other intellectual-property laws.

“TechInfini” and our logo are trademarks of TechInfini Solutions Pvt. Ltd. All other trademarks, service marks, and product or company names mentioned on the Site are the property of their respective owners.

Nothing in these Terms transfers any right, title, or interest in or to any intellectual property to you. Any rights not expressly granted are reserved.

You may print or download extracts of pages on the Site for your personal, internal business reference. You must not modify the paper or digital copies in any way and you must not use any illustrations, photographs, video, audio, or graphics separately from the surrounding text.

User-submitted content

From time to time you may submit content to us through the Site — for example, a contact-form message, a quote request, an application for a role, or feedback. By submitting content, you represent and warrant that:

• You own the content or have all necessary rights and permissions to submit it.
• The content is accurate and not misleading.
• The content does not infringe any third-party right (including intellectual-property, privacy, and publicity rights) and does not violate any applicable law.
• The content does not contain confidential information of any third party that you are not authorised to disclose.

You grant us a worldwide, non-exclusive, royalty-free, sub-licensable, perpetual licence to use, store, copy, modify, display, and process the content you submit, solely for the purposes of operating, providing, and improving the Site and our services, responding to your submission, and complying with applicable law.

We may remove or refuse to publish any user-submitted content at our discretion, without notice.

Our services

The Site describes services that TechInfini offers, but the Site is not itself an offer to provide those services. Engaging TechInfini to deliver any service requires a separate written agreement signed by both parties. Any prices, timelines, capacities, or capabilities described on the Site are indicative only and may change without notice. Nothing on the Site constitutes a binding quote, proposal, warranty, or contractual commitment.

Third-party websites and services

The Site may contain links to third-party websites, products, and services that are not owned or controlled by TechInfini. We are not responsible for the content, privacy practices, or operation of any third-party website or service. Links are provided for your convenience only; their inclusion does not imply endorsement. Your dealings with any third party are at your own risk and subject to that third party’s own terms and policies.

Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge that you have read and understood the Privacy Policy.

Confidentiality of communications

Any information you submit through the Site (other than confidential information clearly marked as such or shared under a separate non-disclosure agreement) will be treated as non-confidential. We may use any ideas, concepts, know-how, or techniques contained in such submissions for any purpose, including developing, marketing, and providing our services.

Disclaimers

The Site and all content, materials, and information available on or through it are provided “as is” and “as available“, without any warranty of any kind, express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, and uninterrupted or error-free operation.

We do not warrant that:

• The Site will meet your requirements or be available without interruption, timely, secure, or error-free.
• Defects in the Site will be corrected.
• The Site or the servers that make it available are free of viruses or other harmful components.
• The information, content, and materials on the Site are accurate, complete, reliable, current, or error-free.

Any reliance you place on information from the Site is strictly at your own risk.

Limitation of liability

To the maximum extent permitted by applicable law, in no event will TechInfini, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or cost of substitute services — arising out of or in connection with your access to or use of, or inability to access or use, the Site, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total cumulative liability to you arising out of or relating to these Terms or your use of the Site will not exceed the greater of (a) the total amount you have paid to TechInfini under a separate engagement agreement in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. The above limitations apply only to the extent permitted by law and do not exclude or limit liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless TechInfini and its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your access to or use of the Site;
• Your violation of these Terms;
• Your violation of any law or any right of a third party; or
• Any content you submit through the Site.

We reserve the right to assume, at our own expense, the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of that matter.

Modifications

We may modify, suspend, or discontinue the Site (or any part of it) at any time, with or without notice, and we will not be liable to you or any third party for any such modification, suspension, or discontinuation.

We may also revise these Terms at any time. Revisions take effect when posted on the Site. When we make a material change, we will update the “Last updated” date at the top of these Terms and, where appropriate, provide a more prominent notice. Your continued use of the Site after the effective date of any revision constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

Termination

These Terms remain in effect while you use the Site. We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. Upon termination, your right to use the Site ends immediately. Sections that by their nature should survive termination — including those relating to intellectual property, user-submitted content, disclaimers, limitation of liability, indemnification, governing law, and these miscellaneous provisions — will continue to apply.

Governing law and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.

Subject to the dispute-resolution process below, the courts of Indore, Madhya Pradesh, India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site.

Before initiating any legal proceeding, the parties will attempt in good faith to resolve any dispute through senior-level discussions for a period of at least thirty (30) days from written notice of the dispute. If the dispute is not resolved within that period, either party may refer the dispute to arbitration administered by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat of arbitration will be Indore, the language will be English, and the award will be final and binding on the parties.

Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect its intellectual-property rights or confidential information.

Export control and sanctions

You may not use the Site or any TechInfini service in violation of any applicable export-control or sanctions law of India, the United States, the United Kingdom, the European Union, or any other relevant jurisdiction. You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive sanctions, and that you are not listed on any prohibited or restricted-party list maintained by any government authority.

Notices

Any notice we are required to give you under these Terms may be provided by email to the address you have submitted to us, by posting on the Site, or by any other reasonable means. Notices to us must be sent by email to [email protected] or by post to our registered office at the address given above.

Assignment

You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms — including in connection with a merger, acquisition, or sale of assets — without notice to you.

Entire agreement

These Terms, together with our Privacy Policy and any engagement agreement signed between you and TechInfini, constitute the entire agreement between you and us regarding your use of the Site and supersede all prior agreements and understandings on that subject.

If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. No waiver of any provision will be effective unless made in writing and signed by us.
